These Terms and Conditions (“Terms”) govern your use of the services and website operated by Mapnetic Flow ("we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

Mapnetic Flow provides review generation, SEO automation, lead nurturing, and reputation management services for businesses in Canada, the United States, and other supported regions. We help clients request, manage, and leverage customer reviews across digital platforms. Results may vary depending on customer engagement, industry, and market conditions.

2. Client Responsibilities

As a client, you agree to:

Provide accurate business, contact, and customer information.
Ensure you have obtained proper consent from your customers to collect, store, and use their personal information for review outreach and automated communication purposes.
Use our services in full compliance with applicable privacy, anti-spam, and telecommunications laws, including but not limited to CASL (Canada), TCPA (USA), GDPR (EU), and applicable carrier and A2P 10DLC regulations.
Refrain from engaging in spam, fraudulent, manipulative, or misleading review practices.
Maintain all appropriate legal disclosures, consent language, and opt-in mechanisms when collecting customer data.

3. Privacy & Data Protection

We comply with Canadian and U.S. privacy laws including PIPEDA and applicable data protection laws. Clients are responsible for ensuring that any data provided to Mapnetic Flow has been lawfully obtained with proper consent. For more information, please review our Privacy Policy.

4. Fees & Payments

Fees for services are agreed upon at the time of service initiation and are billed monthly or on a per-project basis as specified in your service agreement or subscription plan. Payments are due on the schedule specified. Late payments may result in service suspension. All fees are non-refundable unless otherwise stated in writing.

5. Intellectual Property

All content, software, tools, designs, and materials provided as part of our services remain the sole intellectual property of Mapnetic Flow. You are granted a limited, non-transferable, non-exclusive license to use the platform and services for your internal business use only, subject to these Terms.

6. Termination

Either party may terminate this agreement by providing 30 days’ written notice. Mapnetic Flow reserves the right to suspend or terminate services immediately for non-payment, misuse, abuse, or violation of these Terms.

7. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, business interruption, loss of data, or reputational harm.
Our total liability under these Terms shall not exceed the total amount of fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or personal injury where such limitation would be prohibited by law.

8. Indemnity

You agree to indemnify and hold harmless Mapnetic Flow, its affiliates, officers, employees, and partners from any claims, losses, or liabilities arising from your misuse of our services, violation of applicable laws, or breach of these Terms.

9. Third-Party Services

Our platform may integrate with third-party tools (including but not limited to Google, Meta, Twilio, Textgrid, and other service providers) to facilitate messaging, analytics, CRM integrations, payment processing, and data storage. You acknowledge that these third parties may collect and process personal data subject to their own privacy policies and compliance obligations. Mapnetic Flow is not responsible for the performance, availability, or legal compliance of these third-party services.

10. Force Majeure

We are not responsible for delays or service failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, cyberattacks, outages, third-party service disruptions, or government restrictions.

11. Dispute Resolution

The parties agree to attempt to resolve any disputes arising from these Terms through good faith negotiations. If disputes cannot be resolved, both parties consent to submit to binding arbitration in Ontario, Canada, prior to pursuing litigation.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any legal proceedings shall take place exclusively within the jurisdiction of Ontario.

13. Changes to Terms

We may modify these Terms from time to time. Your continued use of our services after changes have been posted constitutes your acceptance of the updated Terms.
